Theon International develops and manufactures customisable night vision and thermal imaging systems, primarily for military and security applications. These optoelectronic devices are developed for both man-portable and platform applications.

Equity Proposition

Theon International is a specialist defence company that develops and manufactures customisable night vision and thermal imaging systems, in both man-portable and mounted form factors, for military and security applications. It holds a leading position in the European man-portable night vision market and has a growing global presence, with more than 300,000 systems sold across 73 countries. Theon is listed on Euronext Amsterdam under the ticker THEON and had a market capitalisation of approximately €2.7bn as of July 2026.

There are five key reasons why Theon represents an exciting investment case.

1. Theon is a market leader in military night vision systems operating in a fast-growing defence market. The company holds a leading share of the European man-portable night vision market and is expanding into North America, the Middle East and Asia Pacific. Its addressable market is forecast to grow at a compound annual rate of around 11–12% between 2025 and 2030, supported by rising NATO defence budgets, and the global push towards a one-to-one ratio of night vision equipment per soldier. At the same time, THEON intends to grow faster than the market by continuously introducing new products across all its business lines, such as digital and ISR products, and capitalising on the increasing importance of night operations, as drone warfare reshapes battlefield tactics.

2. Its asset-light business model delivers industry-leading profitability and strong cash generation. Theon designs and assembles products using best-of-breed components from an international supply chain, keeping capital requirements low. This model has driven an FY25 adjusted EBIT margin above 26% and a cash conversion rate above 85%, placing Theon well ahead of most defence sector peers on profitability.

3. Theon has a record order book that provides exceptional revenue visibility. At the end of FY25 the soft backlog stood at approximately €1.4bn, more than double the prior year. Including contractual options, the total pipeline reached around €2.3bn. Deliveries now stretch beyond 2029, giving investors a level of forward visibility that is unusual for a company of this size in the niche man-portable equipment market THEON has been operating until now.

4. Strategic investments are broadening the product portfolio and securing the supply chain. Theon has acquired a controlling stake in tube manufacturer Harder Digital, concluded the acquisition of ISR optics specialist Kappa Optronics and agreed to acquire MERIO, a specialist in drone and turret gimbals with AI capabilities. Most significantly, Theon has agreed the €300m acquisition of HGH Systèmes Infrarouges, materially increasing the contribution of ISR electro-optics and adding counter-UAS capability. It has also signed a memorandum of understanding with Safran Electronics & Defense to form a 51% controlled Joint Venture in airborne electro-optical and infrared systems for UAVs, extending a clear pipeline tilt towards France, drones and AI-enabled ISR. Moreover, through the following minority investments Theon gain access to new technologies, accelerate its product roadmap, capabilities and R&D and expand its global presence. The investment in in EXOSENS (currently 9,8% stake ) is a testament to the long term prospect of the night vision sector with the supply chain armoured through the extension of the Long Term Commercial Agreement (LTA) until 2030. The 30% stake in ShockEOS, with which the company co-developed the PHYLAX system, helped to bring the agreement with Rheinmettall, which serves as a strong validation from the market to the company going forward. Finally, its THEON NEXT initiative provides access to technologies through minority acquisitions and partnerships in microdisplays, augmented reality and wireless connectivity. The investment in TwinPrime, a frontier AI lab, will enable the company to confidently integrate advanced capabilities across its ecosystem. Together these moves are transforming the company from a night vision specialist into a broader defence optoelectronics business.

5. The company has a clear plan to grow revenue towards €1bn with margins in the mid-20s, supported by a progressive dividend policy. Management is guiding for FY26 revenue of €570–600m, representing growth of around 30% on FY25. Over the medium term, the company targets organic revenue growth of at least 15% per year, supplemented by bolt-on acquisitions, with the ambition to reach €1bn in revenue, by 2029, ahead of its original 2030 target. Adjusted EBIT margins are expected to remain in the mid-20s range, supported by the asset-light model and operational leverage. Alongside reinvestment for growth, Theon has committed to returning 20–30% of net income to shareholders through dividends, with the FY25 dividend of 24.4m, up 2.5% YoY.

Theon International offers investors a differentiated way to gain exposure to the structural growth in global defence spending, combining a market-leading position in night vision, an asset-light business model, an expanding product range and geographic footprint supported by a strong order book and a clear strategy laying the path towards €1bn in revenue.
