The board of Checkit believes that combining the two companies could create a scaled workflow software company, and that this increased scale could present a more attractive investment opportunity for shareholders than for either business as a standalone entity. Along with potential revenue and cost synergies identified by Checkit, the enlarged company could potentially attract a wider pool of investors, a higher level of liquidity and could command a higher valuation. In due course, the Checkit board believes that combining the two product sets would provide an enhanced product offering, and that Checkit’s existing experience with IoT sensors and of selling in the US could be leveraged across the Crimson Tide business.
On 4 June, Checkit proposed an all-share offer for Crimson Tide of seven Checkit shares for each Crimson Tide share. At Monday’s closing price of 26.0p for Checkit, this values Crimson Tide at £12.0m, equivalent to a price of 182.5p per share, a 12% premium to Monday’s 162.5p closing price.
Crimson Tide is an AIM-listed provider of mobile workflow management software, with mpro5 its main product. In FY23 (year ending 31 December), Crimson Tide reported revenue of £6.2m (+15% y-o-y), annual recurring revenue (ARR) of £5.8m (flat y-o-y), EBITDA of £0.4m, a net loss of £0.3m and year-end cash of £3.3m. On a trailing basis, the £12m potential bid price equates to an EV/sales multiple of 1.4x.

Invesco Asia Trust (IAT) posted a one-year NAV total return (TR) to end-May 2024 of 3.8%, below its benchmark return of 8.7%, as some of IAT’s Chinese stock picks de-rated significantly over the period. That said, IAT’s managers remain confident in their current Chinese holdings (and the trust’s overweight position to China/Hong Kong), as they believe that the widespread weakness in local equities has allowed them to build a portfolio of high-quality names at attractive valuations. IAT also remains overweight South Korea, and the trust could benefit from the recently announced government initiative aimed at enhancing the appeal of local equities through reforms to corporate governance and enhanced distributions to shareholders (inspired by the recent success in Japan).
