On 11 August the CMA gave provisional approval to the takeover of EMIS by UnitedHealth. The deadline for the public consultation period was 1 September and today the CMA issued its final report confirming that the takeover does not raise competition concerns, clearing the deal to proceed.
The takeover is being effected by means of a court-sanctioned scheme of arrangement under Part 26 of the Companies Act. The boards of EMIS and Bidco (Bordeaux UK Holdings II Limited, a subsidiary of UnitedHealth Group) confirm that all the conditions to the acquisition relating to regulatory approval have now been satisfied. The acquisition is still subject to certain other conditions, including sanction by the court at the sanction hearing (scheduled for 25 October) and the delivery of a copy of the court order to the registrar of companies. Subject to these conditions being met, the scheme is expected to become effective on 27 October.
The interim dividend of 21.3p will be paid on 23 October to shareholders on the register on 6 October. This will be paid without any reduction in the acquisition cash consideration of 1,925p per EMIS share.
